These Terms of Service ("Terms" or "Agreement") constitute a legally binding agreement between Sendora AI LLC ("Sendora," "we," "us," or "our") and you (whether as an individual or on behalf of an entity) ("you" or "Customer"). This Agreement governs your use of the Sendora AI platform, including its website, web-based interface, application programming interfaces (APIs), and any associated services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms in their entirety. If you do not agree with any provision of these Terms, you must cease using the Service immediately.
1. Introduction and Scope of Service
Sendora AI LLC is dedicated to providing an innovative, AI-powered sales and prospecting platform that integrates a broad range of functionalities designed to support modern business outreach. Our Service offers multiple features, including but not limited to AI-driven outbound prospecting such as cold calling, cold emailing, and cold SMS campaigns; AI-assisted lead qualification; appointment scheduling; data analytics; and customizable reporting tools. While some platforms may focus exclusively on voice functionalities, Sendora AI encompasses these capabilities as part of a larger suite of tools aimed at optimizing and automating your sales process. This comprehensive approach is designed to serve a diverse array of business needs, combining best practices in AI voice technology with additional data-driven services.

2. Description of the Service
Sendora AI is offered as a subscription-based cloud service. The Service is accessible via the Internet and may be updated or modified by Sendora from time to time. Our platform provides you with a secure environment for automating outbound sales processes and managing communications, both voice and data-driven. While our system is designed to adhere to industry best practices and rigorous technological standards, the Service is provided "as is" and "as available," and we make no guarantees regarding its uninterrupted operation or error-free performance.
The Service includes a versatile dashboard that allows users to configure and customize their campaigns. Whether you are utilizing our AI voice functionalities or our other integrated tools, it is expected that you use the Service responsibly and in strict accordance with applicable laws and the terms outlined in this Agreement.
3. Eligibility, Account Registration, and Security
To register for and use the Service, you must be at least 18 years old (or the minimum legal age required to form a binding contract in your jurisdiction) and provide accurate, current, and complete information during the registration process. You are solely responsible for maintaining the confidentiality of your account credentials and for any activities that occur under your account. If you suspect any unauthorized access or a security breach, you must notify us immediately at support@sendora.ai. Failure to secure your account may result in your liability for any losses incurred.
4. User Responsibilities and Compliance
Your use of Sendora AI is subject to strict adherence to all applicable local, state, national, and international laws and regulations. Sendora AI is built on industry-standard practices; however, the responsibility for ensuring compliance with all legal obligations lies solely with you. In addition to general compliance, if you use the AI voice functionalities or any voice-based interactions provided by the Service, you must observe all laws and regulations that govern telecommunications and voice data, including any requirements for consent, disclosure, and data privacy that apply to your jurisdiction. It is your responsibility to secure any necessary consents and maintain appropriate documentation for compliance purposes.
5. Acceptable Use and Conduct
Your use of the Service is governed by a strict Acceptable Use Policy designed to prevent abuse, fraud, or any actions that could jeopardize the integrity and security of the Service. You agree not to engage in any activity that may be deemed unlawful, deceptive, or harmful, including but not limited to sending unsolicited marketing communications, engaging in harassment, impersonation, or any form of behavior that could be interpreted as fraudulent or deceptive. Specific to our AI voice functionalities, you must not manipulate caller identification information, engage in unauthorized call recording, or contravene telemarketing laws such as the Telephone Consumer Protection Act (TCPA) or any other applicable legal standards. Sendora AI reserves the right to suspend or terminate access if it determines, at its sole discretion, that your actions constitute a breach of these standards or the law.
6. Payment Terms and Subscription Details
Sendora AI operates on a subscription basis, and all fees are outlined at the time of registration or as published on our pricing page. Upon subscribing, you agree to provide valid billing information, including a credit card, and authorize us to charge your card on a recurring basis according to your chosen subscription plan. Your subscription will automatically renew at the end of each subscription period unless cancelled in accordance with our cancellation policy. You are responsible for keeping your billing information current and for any fees incurred, including those due to automatic renewal. In the event of a failure to process payment, Sendora AI reserves the right to suspend or terminate your access to the Service until such outstanding amounts are settled. Additional charges, such as late payment fees or administrative charges, may apply as specified in our billing policy.
7. Data Privacy and Security
Your use of the Service is subject to our Privacy Policy, which outlines how we collect, store, and use your data. We employ industry-standard security measures to protect your information; however, absolute security cannot be guaranteed. You are responsible for ensuring that your use of the Service complies with any and all data protection laws applicable to your operations. In some cases, your data may be processed or stored outside your home jurisdiction. By using our Service, you acknowledge and accept these conditions.
8. Intellectual Property Rights and Licenses
All intellectual property, including software, trademarks, designs, and any underlying technology associated with the Service, is the property of Sendora AI LLC or its licensors. You are granted a limited, non-exclusive, non-transferable, and revocable license to use the Service solely for your internal business purposes. This license does not extend to modifying, reverse engineering, or otherwise creating derivative works based on our technology. Any content you upload or generate while using the Service remains your property; however, by doing so, you grant Sendora AI a worldwide, royalty-free license to use, reproduce, and distribute that content solely in connection with the operation of the Service. In addition, any AI-generated content produced through our platform is governed by specific intellectual property terms that provide you with a license for internal use, while retaining our ownership of the underlying models and algorithms.
9. Service Modifications and Termination
Sendora AI reserves the right to modify, suspend, or discontinue the Service, in whole or in part, at any time and for any reason. Although we strive to provide a stable and reliable Service, we do not guarantee uninterrupted operation or error-free performance. Your access to the Service may be terminated if you violate these Terms, engage in behavior that threatens the security or integrity of the Service, or fail to meet your payment obligations. Termination of your access does not absolve you of any outstanding payment responsibilities or liability incurred prior to termination.
10. Disclaimers and Warranty Limitations
The Service is provided "as is" and "as available," with no express or implied warranties of any kind. Sendora AI expressly disclaims any warranties related to merchantability, fitness for a particular purpose, non-infringement, or the uninterrupted, secure, or error-free operation of the Service. We do not warrant that the Service will meet your specific requirements or that any defects will be corrected. You acknowledge that any reliance on the Service is at your sole risk.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Sendora AI LLC shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service. Our aggregate liability in connection with any claims arising under this Agreement shall not exceed the amount you paid for the Service during the 12-month period preceding the claim, or a nominal amount, whichever is greater. Certain jurisdictions do not allow the limitation or exclusion of liability for consequential or incidental damages, so some of the above limitations may not apply to you.
12. Indemnification
You agree to indemnify, defend, and hold harmless Sendora AI LLC, its officers, directors, employees, agents, and affiliates from any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your violation of these Terms, or any infringement of third-party rights. Should we assume exclusive defense and control of any claim subject to indemnification, you agree to cooperate fully in any such proceedings.
13. Third-Party Integrations and Services
Sendora AI may incorporate third-party services or integrate with external platforms to enhance the functionality of the Service. While we strive to ensure that these integrations meet high standards of reliability and security, Sendora AI is not responsible for the privacy practices, security measures, or performance of such third-party providers. Your use of any third-party services is governed by the terms and conditions of those respective providers, and you assume all risk and responsibility associated with those services.
14. General Use and Compliance
By accessing or using Sendora AI, you acknowledge that you have read and accepted our Privacy Policy and these Terms of Service. Your use of our platform—including all available features and services—is entirely at your own risk and discretion. It is your responsibility to ensure that your activities on our platform comply with all applicable laws, rules, and regulations at the national, state, and local levels. While Sendora AI is developed and maintained in accordance with industry best practices, the ultimate responsibility for adherence to all legal and regulatory requirements rests solely with you.
You must not use the Services in violation of the applicable laws governing the making and sending of calls and text messages. Relevant laws and regulations include, but are not limited to, the Telemarketing and Consumer Fraud and Abuse Prevention Act, the Telephone Consumer Protection Act (TCPA), and the rules promulgated by the Federal Communications Commission pursuant to the TCPA, the Federal Trade Commission (FTC) Act, the FTC's Telemarketing Sales Rule (TSR) and the Do-Not-Call (DNC) registry, state telemarketing laws and federal and state anti-wiretapping or eavesdropping laws.
AI Voice Technology Compliance
If you use any AI voice functionalities provided as part of our Service, you must comply with all applicable laws and regulations governing AI voice technologies in your jurisdiction. Although Sendora AI implements stringent best practices to promote ethical and legal use of its services, you are solely responsible for ensuring that your use of these functionalities adheres to all relevant legal standards. Any misuse or violation involving AI voice features will be your exclusive responsibility, and you may be held liable for any resulting legal or regulatory consequences.
Call Recording, AI Voice, and Telecommunication Compliance
If you choose to utilize the AI voice functionalities of the Service, including outbound calls and communications, you are required to comply with all applicable telecommunications laws and regulations. This includes, but is not limited to, obtaining necessary consents, maintaining proper documentation of consent where required, and disclosing the use of AI voice technology at the beginning of calls. If you do not opt out of call recording, you hereby consent to Sendora AI recording and processing your communications to provide analytical services, improve our AI models, and enhance the overall functionality of the Service. All recorded data will be de-identified and aggregated in accordance with industry standards. You are responsible for ensuring that your telecommunication practices, including adherence to "do not call" regulations and other relevant legal requirements, are maintained at all times.
15. Payment, Billing, and Subscription Management
The Service is offered on a subscription basis with fees and billing cycles specified at the time of registration or as posted on our pricing page. Upon subscribing, you authorize Sendora AI to charge your credit card for recurring subscription fees at the end of each billing cycle. It is your responsibility to provide accurate and current billing information, and you agree to notify us of any changes. Failure to update your billing information may result in suspension or termination of your Service. If the automatic billing process fails, you will be issued an invoice with a defined grace period for payment, after which additional late payment fees may be applied. If you wish to cancel your subscription, you must do so prior to the next billing cycle in accordance with our cancellation policy. Continued use of the Service after changes in fees will be deemed acceptance of those changes.
16. Dispute Resolution, Governing Law, and Jurisdiction
Any disputes arising from or relating to these Terms or your use of the Service shall be governed by and construed in accordance with the laws of the United States and the State of Wyoming, without regard to conflicts of law principles. You and Sendora AI agree that any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Wyoming, and you hereby consent to the jurisdiction and venue of such courts. In the event of a dispute, you are encouraged to contact us in writing to attempt to resolve the issue amicably before initiating legal proceedings.
17. Modifications to Terms
Sendora AI reserves the right to modify these Terms at any time in its sole discretion. Revised versions of these Terms will be posted on our website and become effective immediately upon posting. Your continued use of the Service following any such changes constitutes your acceptance of the updated Terms. We recommend that you review these Terms periodically to remain informed of any modifications.
18. Severability and Assignment
If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be deemed modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We reserve the right to assign or transfer these Terms or our rights and obligations hereunder without notice to you.
19. Force Majeure
Neither party shall be liable for any delay or failure to perform any obligation under these Terms if such delay or failure results from events beyond the reasonable control of the affected party. These events include, but are not limited to, natural disasters, war, terrorism, civil unrest, labor disputes, pandemics, network or infrastructure failures, or government actions. In such circumstances, the affected party's performance shall be suspended for the duration of the force majeure event, and both parties agree to use reasonable efforts to mitigate the impact of such events.
20. Enforcement, Waiver, and Contact Information
Sendora AI retains the right to enforce these Terms at its sole discretion. Failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that or any other provision at a later time.
